ITR filing for first-time founders

Filing your Income Tax Return (ITR) for the first time as a startup founder can feel overwhelming. Between managing your product, growing your team, and navigating daily operations, taxation and compliance often take a back seat. However, missing your tax deadlines can lead to hefty penalties, loss of carry-forward benefits, and unnecessary scrutiny from the Income Tax Department.

Important Due Dates for AY 2026-27

Knowing your exact deadline is the most crucial step in the ITR filing process. For the Assessment Year (AY) 2026-27 (Financial Year 2025-26), the due dates are as follows:

  • July 31, 2026: For individuals, HUFs, and startup founders whose accounts are not required to be audited.
  • October 31, 2026: For companies and working partners of a firm, or entities whose accounts require a tax audit.

Avoid the ₹5,000 Penalty

Failing to file your ITR by the specified due date triggers immediate financial consequences. Under Section 234F of the Income Tax Act, a late filing fee is levied:

  • A penalty of ₹5,000 is applicable if you file your return after the deadline.
  • If your total income does not exceed ₹5 Lakh, the penalty is restricted to ₹1,000.

Beyond the penalty, late filing means you cannot carry forward business losses to offset future profits—a major setback for early-stage startups.

Choosing the Right ITR Form: ITR-3 vs ITR-4

As a founder, selecting the correct ITR form is essential to ensure a smooth processing of your returns:

  • ITR-3: Ideal for founders earning income from a proprietary business or profession. If you have significant expenses to claim, carry-forward losses, or complex financials, ITR-3 is the comprehensive form you need.
  • ITR-4 (Sugam): Designed for small businesses and freelancers opting for the presumptive taxation scheme (under Section 44AD, 44ADA, or 44AE). It requires less documentation, but you cannot claim detailed expense deductions or carry forward losses.
